*Position Summary*: We are looking for a dynamic and capable individual with strong corporate law clerking skills to join our Legal team. Reporting directly to the General Counsel, the Corporate Law Clerk position is a hands-on role assisting Canso and its related companies in the area of corporate law, as well as supporting the Canso compliance group.
*Key Responsibilities:*
- Legal document preparation: Preparing, reviewing, and analyzing legal documents for corporate transactions and securities filings.
- Corporate record maintenance: Maintaining corporate records databases and ensuring that applications, agreements, and contracts are filed on time.
- Corporate administration: Providing administrative support to the General Counsel.
- Corporate searches and registrations: Conducting corporate and security searches and registrations.
- Corporate maintenance: Performing annual corporate maintenance, such as business, business name, extra-provincial and National Registration Database registrations and renewals.
*Qualifications:*
- Bachelor?s degree or Law Clerk Diploma/Certificate or equivalent experience.
- Knowledge of legal terminology, procedures and statutes.
- Strong organizational skills with the ability to work independently on confidential matters.
- Attention to detail is paramount to being successful in this role.
- Minimum of 3 years of related work experience.
- Great time management skills and prioritization skills.
- Experience in reviewing and drafting of board and shareholder meeting materials and resolutions; recording minutes; mandates and governance policies; maintaining minute books, annual filings, and regulatory compliance.
- General understanding of securities registrations and NRD filings (including preparing/reviewing and filing new individual and firm applications, notices of change and terminations of individual registrations and managing annual filings and working with external counsel).
- Computer literate with strong working knowledge of Microsoft Office.
